Terms of Service

1. Acceptance of terms
By accessing or using Folia (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Service. These Terms constitute a legally binding agreement between you and Folia (“we,” “us,” or “our”). We may update these Terms from time to time; continued use of the Service after any change constitutes acceptance of the revised Terms.
2. Service description
Folia is a software tool that converts bank and credit card statement PDF files into structured CSV data for accounting purposes. The Service is intended for use by accounting professionals and businesses in Canada. Folia is not a financial service, financial advisor, payment processor, or money services business. We hold no MSB or FINTRAC licence and are not subject to the Proceeds of Crime (Money Laundering) and Terrorist Financing Act.
3. Eligibility
You must be at least 18 years of age to use the Service. By creating an account, you represent that you are at least 18 years old and that you are authorized to enter into these Terms on behalf of yourself or the business entity you represent. You are responsible for ensuring that your use of the Service complies with all applicable laws and professional obligations in your jurisdiction.
4. Account registration
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@withfolia.ca if you suspect any unauthorized access. We are not liable for any loss or damage arising from your failure to protect your credentials.
5. Free plan
New accounts are provided with a one-time lifetime allowance of 10 pages of processing at no cost. This allowance is not a monthly quota — it does not renew. No credit card is required to register. Once the 10-page allowance has been consumed, you must subscribe to a paid plan to continue processing documents.
6. Subscriptions and billing
Paid subscriptions are billed monthly in Canadian dollars (CAD) and renew automatically at the end of each billing period. You may cancel your subscription at any time through your account settings; your access to paid features will continue until the end of the current billing period. No refunds are issued for cancellations. Plan upgrades are prorated — when you upgrade mid-cycle, you are charged only the difference for the remaining days of the current billing period.
Applicable GST and/or HST will be added to invoices for Canadian customers in accordance with the Excise Tax Act. Prices displayed on the website exclude applicable taxes. We use Stripe to process payments; by subscribing, you also agree to Stripe’s terms. We do not store your payment card details.
7. Overage charges
Each paid plan includes a monthly page allowance as described on our pricing page. When that allowance is exhausted, further processing is blocked until the next billing cycle or until you purchase additional page packs. Page packs can be bought at any time from within your account at the per-page rates applicable to your plan tier. Unused page packs carry over and do not expire while your subscription remains active.
8. Acceptable use
You may use the Service only for lawful purposes. You represent that you are authorised to process each PDF you upload — either because it belongs to you or because you have obtained the necessary consent from your client. You must not:
- Upload files you do not have the right to process;
- Attempt to reverse engineer, decompile, or disassemble the Service;
- Scrape, crawl, or systematically extract data from the Service;
- Use the Service to transmit malware or interfere with its operation;
- Resell or sublicense access to the Service without our prior written consent.
We reserve the right to suspend or terminate accounts that violate these restrictions.
9. Intellectual property
Folia and all associated software, trademarks, and content are owned by us or our licensors. These Terms do not grant you any rights in our intellectual property beyond the limited licence to use the Service as described herein.
You retain full ownership of all PDF files you upload and all CSV files generated from them. We claim no ownership over your data. By using the Service, you grant us a limited, temporary licence to process your files solely for the purpose of providing the Service to you. This licence terminates as soon as processing is complete.
10. Privacy and data
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. PDF files and CSV output are never stored — processing occurs entirely in memory and the files are discarded immediately after your CSV is returned. Only non-sensitive processing metadata (filename, page count, transaction count, timestamp) is retained. The Service is compliant with the Personal Information Protection and Electronic Documents Act (PIPEDA).
11. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that extracted data will be complete or accurate. You are solely responsible for verifying all CSV output against the original source documents before relying on it for any accounting or professional purpose.
12. Limitation of liability
To the maximum extent permitted by applicable law, Folia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, however caused and regardless of the theory of liability.
Our aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total amounts paid by you to Folia in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any amounts, our liability is limited to CAD $50.
13. Indemnification
You agree to indemnify, defend, and hold harmless Folia and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including the rights of your clients whose documents you process through the Service; or (d) any claim that your use of the Service caused damage to a third party.
14. Termination
Either party may terminate these Terms at any time. You may close your account through your account settings or by contacting us. We may suspend or terminate your access immediately if you violate these Terms, without notice or liability.
On termination: paid subscribers retain access until the end of their current billing period (no refund is issued for the remaining period); free account access ends immediately. Sections 9, 11, 12, 13, and 16 survive termination.
15. Changes to terms
We may revise these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page and, where practicable, notify you by email. Your continued use of the Service after any revision constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
16. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of Ontario, Canada for the resolution of any disputes arising out of or relating to these Terms or the Service.
